(b) Departure of Senior Vice President of CPG and Retail Sales

Alan M. Jones, Senior Vice President of CPG and Retail Sales, will be leaving Insignia Systems, Inc. (the "Company") effective September 30, 2012. The Company and Mr. Jones currently plan for him to assist with the transition of his duties and to provide other consulting services related to sales and Company business for approximately nine months after his departure. The Company has begun a search for Mr. Jones' replacement, and until that process is complete, Glen P. Dall, President and COO, will supervise the Company's sales efforts.
