Item 5.02. Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 22, 2012, the Board of Directors (the "Board") of Adams Resources & Energy, Inc. (the "Company") approved that certain Tenth Amendment to Employment Agreement by and between the Company and Frank T. Webster, dated effective September 22, 2012 (the "Tenth Amendment"). The Tenth Amendment extends Mr. Webster's employment date through May 13, 2016 and retains his annual salary at $396,000. The foregoing description is qualified in its entirety by reference to the full text of the Tenth Amendment, which is filed as Exhibit 10.1 to this Current Report on Form 8-K and incorporated herein by reference.
