Item 2.01. Completion of Acquisition or Disposition of Assets.

On September 21, 2012, pursuant to the previously disclosed Patent Purchase Agreement dated August 22, 2012, Aware, Inc. ("Aware") completed its previously announced sale to TQ Delta, LLC ("TQ Delta"), of selected patents and patent applications relating to DSL technology.

The purchase price for the sale of the assets consisted of a payment by TQ Delta to Aware of $16 million in cash at closing.
