On September 13, 2012, John C. Malone provided the board of directors (the "Board") of Ascent Capital Group, Inc. (the "Company") with notice of his resignation from the Board, effective September 13, 2012. In connection with Mr. Malone's resignation from the Board, the Company issued a press release on September 18, 2012, which is filed as Exhibit 99.1 to this Current Report on Form 8-K.
