Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 13, 2012, Mr. Neil D. Nicastro notified the Company that he plans
to retire from the Board of Directors and will not stand for re-election to the
Board of Directors at the 2012 Annual Meeting of Stockholders, which is expected
to be held in December, 2012. The Company and its Board of Directors wish to
acknowledge with appreciation Mr. Nicastro's leadership and many years of
service to the Company.
