Item 9.01 - Financial Statements and Exhibits

On June 28, 2012, Ring Energy, Inc. ("Ring") completed the acquisition of Stanford Energy, Inc. ("Stanford") through the closing of a stock-for-stock exchange agreement dated May 3, 2012. On July 5, 2012, Ring filed a report on Form 8-K disclosing the completion of this acquisition without the information required under this item. On September 12, 2012, Ring filed an amended report on Form 8-K which included audited financial statements of Stanford and the audited carve-out financial statements of its predecessor required pursuant to paragraph (a) this item and pro forma financial information for the transaction.
The purpose of this second amendment is to revise the pro forma financial information to include information for the period ended March 31, 2012, as required pursuant to Rule 8-05 of Regulation S-K..
