Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 10, 2012, Mr. John A. Moran informed Wynn Resorts, Limited (the
"Company") of his determination to retire from the Board and not to stand for
re-election. Mr. Moran has served the Company as an independent director since
2002 and will retire at the Annual Meeting scheduled for November 2, 2012. The
Company expresses its gratitude for his many valuable contributions.
There are no disagreements between Mr. Moran and the Company that caused or
contributed to his decision.
