Item 8.01. Other Events.

On September 14, 2012, Tech Data Corporation issued a press release announcing the pricing of its public offering of $350,000,000 aggregate principal amount of its 3.750% Senior Notes due 2017. The offering is expected to close on or about September 21, 2012.

A copy of the press release is attached as Exhibit 99.1 to this Form 8-K and is incorporated herein by reference.
