Item 5.02. Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 11, 2012, one of the Company's directors, Glenn Solomon, notified
the Company of his decision not to stand for reelection as a Class III member of
the Company's Board of Directors upon the expiration of his current term, which
expires on October 26, 2012, the day of the Company's 2012 annual meeting of
stockholders. Mr. Solomon will continue to serve as a member of the Company's
Board of Directors until such date. Mr. Solomon does not currently serve on any
committee of our Board of Directors. Mr. Solomon's decision to not stand for
reelection was not the result of any disagreement between him and the Company.
