On September 13, 2012, Rinzy J. Nocero, the Company's Chief Operating Officer (principal operating officer), retired after 5 1/2 years of service with the Company.

The Company does not anticipate filling the position at this time but rather intends to re-assign Mr. Nocero's responsibilities to other members of senior management.
