Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 12, 2012, Robert C. Hawk informed the Board of Directors of Neutral
Tandem, Inc. d/b/a Inteliquent (the "Company") of his decision to resign from
the Board of Directors effective immediately to devote more time to his other
interests. Mr. Hawk confirmed that his decision to resign was not as a result of
any disagreement with the Company or its management on any matter relating to
the Company's operations, policies or practices. On September 12, 2012, the
Board of Directors accelerated the vesting of 18,779 of Mr. Hawk's unvested
shares, effective September 12, 2012.
