Directors; Appointment of Certain Officers; Compensatory
Arrangements of Certain Officers.
On August 6, 2012, the Board of Directors of Digital Power Corporation (the
"Company") approved the payment of a cash bonus of $25,000 to Amos Kohn, the
President and Chief Executive Officer of the Company. The Board's decision to
approve the bonus was based on a recommendation by the Compensation Committee in
recognition of the considerable effort Mr. Kohn has made on behalf of the
Company since January 2011, including but not limited to his leadership in
connection with the Company's increased profitability over previous periods. The
bonus was paid on August 31, 2012.
