On June 28, 2012, Ring Energy, Inc. ("Ring") completed the acquisition of Stanford Energy, Inc. ("Stanford") through the closing of a stock-for-stock exchange agreement dated May 3, 2012. On July 5, 2012, Ring filed a report on Form 8-K disclosing the completion of this acquisition without the information required under this item. Included in this amended report are the audited financial statements of Stanford and the audited carve-out financial statements of its predecessor required pursuant to paragraph (a) this item. Also included is the pro forma financial information required pursuant to paragraph (b) of this item in connection with this acquisition.
