(b) On September 11, 2012, Robert D. Barry advised the Board of Directors of Regional Management Corp. (the "Company") of his intent to retire as Executive Vice President and Chief Financial Officer of the Company. The Company has commenced a search for a chief financial officer to replace Mr. Barry upon his retirement. Mr. Barry's retirement is expected to be effective following the successful retention of a replacement and the transition of his responsibilities.
