Item 7.01 Regulation FD Disclosure.
On September 12, 2012, Intel Corporation ("Intel") closed its purchase of
62,977,877 ordinary shares of ASML Holding N.V. ("ASML") for €2.5 billion
(approximately $3.1 billion). The transaction is part of the previously
disclosed series of agreements between Intel and ASML under which Intel is
helping to fund ASML's research and development programs to accelerate
deployment of new technologies for 450-millimeter (mm) wafers and extreme
ultra-violet (EUV) lithography. The information in this report shall not be
treated as filed for purposes of the Securities Exchange Act of 1934, as
amended.
