On September 10, 2012, Asta Funding, Inc. announced that its Board of Directors declared a quarterly cash dividend of $0.02 per share. The dividend is payable on November 1, 2012 to stockholders of record at the close of business on September 21, 2012.

The press release announcing the declaration of the dividend is included as Exhibit 99.1 to this report and incorporated by reference in its entirety into this Item 8.01.
