On September 4, 2012, Maier O. Fein was elected to the Board of Directors (the
"Board") of RCM Technologies, Inc. (the "Company"). Immediately prior to his
election, the Board voted to increase the size of the Board by one, and Mr. Fein
was elected to the Board to fill the newly created vacancy, which is Class A of
the Board. Mr. Fein's term is scheduled to expire at the Company's annual
meetings of stockholders to be held in 2015. Mr. Fein will receive the same
compensation and reimbursement of expenses as are payable to other non-employee
directors.
