Completion of Tender Offer

On September 7, 2012, PHH Corporation issued a press release announcing the completion of its previously announced cash tender offer (the "Tender Offer") for any and all of its outstanding 7.125% Notes due 2013 (CUSIP No. 693320AF0).

A copy of the press release announcing the completion of the Tender Offer is hereby incorporated by reference and attached hereto as Exhibit 99.1.
