Item 5.07. Submission of Matters to a Vote of Security Holders.

On April 24, 2012, Biglari Holdings Inc. (the "Company") filed a Current Report on Form 8-K (the "Original 8-K Report") to report the voting results of its annual meeting of shareholders held on April 19, 2012 (the "Annual Meeting"), including among other matters, the results of the shareholder vote on the frequency of submission to shareholders of the advisory vote on the compensation paid to the Company's named executive officers as set forth in the Company's proxy statement (the "Say on Pay Vote"). This Form 8-K/A is being filed as an amendment to the Original 8-K Report to disclose the decision of the Company's Board of Directors (the "Board") as to how frequently the Company will hold the Say on Pay Vote.

At the Annual Meeting, a plurality of the votes cast was voted in favor of holding the Say on Pay Vote annually. Accordingly, the Board has determined that the Company will hold the Say on Pay Vote at next year's annual meeting of shareholders.
