On September 4, 2012, Charles W. B. Wardell III resigned from the Registrant's Board of Directors. Mr. Wardell's resignation was not due to a disagreement with the Registrant on any matter relating to the Registrant's operations, policies or practices.

The Company intends to initiate a search process to identify a successor.
