Item 5.02 Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On August 29, 2012, Evans Bancorp ("the Company") announced the departure of
Cynthia M. Rich, Executive Vice President of Operational Excellence, effective
immediately. Mrs. Rich's responsibilities have been re-assigned to other
executives. In accordance with Mrs. Rich's employment agreement filed as Exhibit
10.27 to Form 10-K on March 6, 2012 and described in the Company's proxy
statement, the Company will pay Mrs. Rich a cash lump sum severance payment
conditioned upon her signing a general release in substantially the form set
forth as Appendix A to her employment agreement.
