Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 30, 2012, Stephen V. R. Whitman, Senior Vice President, General Counsel and Secretary of SS&C Technologies Holdings, Inc. (the "Company"), age 65, informed the Board of Directors of the Company that he plans to retire from employment with the Company, effective January 5, 2013. The Company intends to initiate a search process to identify a successor.
