Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 31, 2012, Life Partners Holdings, Inc. ("we") terminated Mr. Scott Dubs as Chief Financial Officer. We had hired Mr. Dubs as of August 20, 2012. The CFO position has been vacant since the departure of Mr. David Martin, who had served as our CFO since 2008.
