Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On August 28, 2012, William J. Stanczak, Controller and Chief Accounting Officer
of AmeriGas Propane, Inc. (the "General Partner"), the general partner of
AmeriGas Partners, L.P., indicated his intention to retire in early 2013. Mr.
Stanczak has served as principal accounting officer of the Company since 2004.
The General Partner intends to name a successor prior to December 31, 2012.
