Appointment of Principal Officers
On August 22, 2012, Freddy Holder gave notice of his resignation as the Chief
Financial Officer of Vertical Computer Systems, Inc. (the "Company"), which was
effective at the close of business on August 22, 2012. Mr. Holder did not resign
as a result of any disagreement with the Company on any matter relating to the
Company's operations, policies or practices, and Mr. Holder did not furnish a
letter to the Company with respect to any such disagreement. Mr. Holder will
continue to provide accounting services to the Company and Now Solutions, on a
part-time basis, in exchange for remuneration.
