Item 1.01 Entry into a Material Definitive Agreement.
On August 24, 2012, Apricus Biosciences, Inc.'s wholly-owned subsidiary,
Scomedica SAS (the "Company"), entered into a prolongation agreement (the
"Prolongation") of the Company's Promotion Agreement with Novartis Pharma SAS
("Novartis"), dated April 20, 2011, for co-promotion by the Company of an
undisclosed Novartis drug in France. As a result of the Prolongation, the
Company currently expects to book an additional $1.2 million in the year ending
December 31, 2012.
