Appointment of Certain Officers; Compensatory Arrangements of Certain
Officers.
On August 16, 2012, the Board of Directors of BlueLinx Holdings Inc. appointed
Mr. Ronald E. Kolka to fill the vacancy created by the resignation of Mr. Robert
Warden. Mr. Kolka has been a Senior Operating Executive at Cerberus Operations
and Advisory Company, LLC ("COAC") since December 2009. In addition, Mr. Kolka
has been acting Chief Financial Officer of Freedom Group, Inc. since January 5,
2012. Prior to his tenure with COAC, Mr. Kolka was Executive Vice President and
Chief Financial Officer of Chrysler LLC beginning in 2007. Mr. Kolka joined
Chrysler Corporation in 1986.
