Item 7.01. Regulation FD Disclosure.

Under Armour, Inc. (the "Company") is a leading developer, marketer, and distributor of branded performance apparel, footwear, and accessories. Janet Fox, Senior Vice President of Sourcing, has resigned from the Company to pursue other interests. Her resignation will be effective August 24, 2012. Ms. Fox reports to Jim Hardy, Chief Supply Chain Officer, who will assume Ms. Fox's responsibilities overseeing the Company's apparel sourcing operations as the Company evaluates the organizational structure and management needs of this area. Mr. Hardy has over 26 years of experience in managing supply chain operations.
