Appointment of Certain Officers; Compensatory Arrangement for Certain Officers.
On August 13, 2012, Andrew Koslow tendered his resignation as Secretary,
Executive Vice President and General Counsel of Penson Worldwide, Inc. (the
"Company") and from all positions with the Company and/or its subsidiaries,
effective as of the end of the day on August 17, 2012. Mr. Koslow resigned to
take a position at another company. The Company has no current plans to fill the
role of General Counsel of the Company at this time.
