Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On August 9, 2012, Pacific Sunwear of California, Inc. (the "Company") announced the resignation of Charles Mescher as Senior Vice President, Men's Merchandising effective as of August 9, 2012. He will be succeeded by Alfred Chang, who is being promoted to Vice President, Men's Merchandising and Design. Mr. Mescher will be entitled to receive severance benefits under the Company's Executive Severance Plan, as amended, which was previously filed as Exhibit 10.12 to the Company's Form 10-K filed with the SEC on April 1, 2009.
