On August 7, 2012, the Company changed its state of incorporation from Delaware to Nevada, and on that date the Company's articles of incorporation and bylaws as a Nevada corporation became effective, as disclosed in the Company's definitive proxy statement dated May 22, 2012.

On August 8, 2012, the Company issued a press release announcing receipt of new orders for airflow dyeing machines and solar components. A copy of the press release is included as Exhibit 99.1.
