Results of Operations and Financial Condition, Change in Directors or Principal Offic
On August 8, 2012, Cenveo, Inc. (the "Company") issued a press release announcing its results of operations for the second quarter ended June 30, 2012. A copy of the press release is attached as Exhibit 99.1 and is incorporated herein by reference.
The foregoing information is intended to be furnished under Item 2.02 "Results of Operations and Financial Condition" in accordance with Securities and Exchange Commission Release No. 33-8400. Such information shall not be deemed "filed" for purposes of Section 18 of the Securities Exchange Act of 1934 or otherwise subject to the liabilities of that Section, nor shall it be deemed incorporated by reference into any filing under the Securities Act of 1933, except as expressly set forth by specific reference in such filing.
On August 8, 2012, the Company announced the appointment of Mark S. Hiltwein to President of the Envelope Group effective August 9, 2012. From July 2007 until June 2009, he served as Chief Financial Officer. From June 2009 until December 2009, Mr. Hiltwein served as President of Field Sales Manufacturing. From December 2009 until August 2012, he has been Executive Vice President and Chief Financial Officer.
There were no changes to his employment agreement and no new grants or awards associated with this event.
On August 8, 2012, the Company announced the appointment of Scott J. Goodwin to Chief Financial Officer effective August 9, 2012. From June 2006 until June 2009, he served as Assistant Controller. From June 2009 until April 2012, Mr. Goodwin served as Senior Vice President, Finance and Corporate Controller. From April 2012 until August 2012, he has been Chief Accounting Officer.
There were no changes to his employment agreement and no new grants or awards associated with this event.
