Departure of Director and Officer

On July 31, 2012, Mr. George Hartman, a Director and the Executive Vice President and Chief Operating Officer of the Registrant, announced his retirement as a Director and Officer of the Company effective September 15, 2012. Mr. Hartman is not resigning as the result of any disputes, claims or issues with the Registrant.
