Item 2.02 Results of Operations and Financial Condition.

On August 1, 2012, Orchard Supply Hardware Stores Corporation, a Delaware corporation (the "Company"), issued a press release announcing its preliminary sales results for the second quarter ended July 28, 2012. A copy of the press release is attached as Exhibit 99.1 hereto.
