On July 31, 2012, Middleburg Financial Corporation (the "Company") issued a press release reporting its financial results for the period ended June 30, 2012. A copy of the press release is being furnished as Exhibit 99.1 to this report and is incorporated by reference into this Item 2.02.

On July 31, 2012, the Company announced the declaration of a cash dividend of $0.05 per share to shareholders of record on August 10, 2012, payable on August 24, 2012.
