Item 2.02 Results of Operations and Financial Condition

On July 30, 2012, Unilife Corporation ("Unilife") issued a press release announcing the financial results for the three months and fiscal year ended June 30, 2012. A copy of the press release is attached hereto as Exhibit 99.1.

During a conference call scheduled to be held at 4:30 p.m. U.S. Eastern Daylight Time on July 30, 2012, Unilife's Chief Executive Officer and Chief Financial Officer will discuss the Company's results for the three months and fiscal year ended June 30, 2012 and an update on its businesses. The slide presentation for the conference call is attached hereto as Exhibit 99.2.

On July 30, 2012, Unilife filed its Appendix 4C ("Quarterly Report") for the three months and fiscal year ended June 30, 2012 with the Australian Securities Exchange ("ASX"), a copy of which is attached hereto as Exhibit 99.3. The Quarterly Report is prepared in U.S. dollars pursuant to accounting principles generally accepted in the United States of America and otherwise in compliance with the requirements of Australian law and the ASX listing rules.
