On July 25, 2012, the Board of Directors (the "Board") of Endocyte, Inc. (the "Company"), upon the recommendation of the Nominating and Corporate Governance Committee, elected Marc Kozin to the Board, with a term to expire at the Company's 2013 annual meeting of stockholders. The appointment of Mr. Kozin fills a vacancy on the Board. The Company expects that Mr. Kozin will be appointed to the Nominating and Corporate Governance Committee. There are no arrangements or understandings between Mr. Kozin and any other persons pursuant to which Mr. Kozin was appointed a director of the Company.

As a non-employee director, Mr. Kozin will participate in the non-employee director compensation arrangements described in the Company's definitive proxy statement filed with the Securities and Exchange Commission on April 13, 2012.
