Item 2.02. Results of Operations and Financial Condition.

On July 24, 2012, Berkshire Hills Bancorp, Inc. ("BHLB"), the holding company for Berkshire Bank, announced its financial results for the period ended June 30, 2012. The news release containing the financial result is included as Exhibit 99.1 and shall not be deemed "filed" for any purpose.



Item 8.01. Other Events.

On July 24, 2012, BHLB announced a cash dividend of $0.17 per share to stockholders of record as of the close of business on August 9, 2012, payable on August 23, 2012.
