Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On July 12, 2012, David M. Martin, Chief Financial Officer (principal financial
officer) of Life Partners Holdings, Inc. ("we"), tendered his resignation to
pursue another employment opportunity. Mr. Martin's resignation is effective as
of the close of business on July 31, 2012.There are no disagreements between us
and Mr. Martin, and we wish him well in his future endeavors.
