On July 12, 2012, the Company issued a press release announcing that Hawaiian Telcom, Inc., its indirect wholly-owned subsidiary, has entered into an agreement to acquire all of the issued and outstanding capital stock of Wavecom Solutions Corporation, a Hawaii corporation. A copy of the press release announcing the execution of the agreement is attached hereto as Exhibit 99.1.
