(b) On June 27, 2012, Maureen A. McGuire resigned from the Board of Directors
of Furniture Brands International, Inc. (the "Company") effective immediately in
order to devote more time to her other professional interests. Ms. McGuire is
currently serving as Chief Marketing Officer of Bloomberg LP. Ms. McGuire's
decision to resign as a director was not due to any disagreements with the
Company on any matter relating to the Company's operations, policies or
practices. Ms. McGuire served as a Director of the Company since 2008, and was a
member of the Human Resources Committee and the Governance and Nominating
Committee.
