Item 8.01 Other Events

On July 2, 2012, Palmetto Bancshares, Inc. (the "Company") issued a news release announcing that effective July 1, 2012 its wholly-owned subsidiary, The Palmetto Bank, consummated the sale of its Rock Hill and Blacksburg, South Carolina branches to Carolina Premier Bank, a North Carolina state chartered bank and wholly owned banking subsidiary of Premara Financial, Inc. The signing of an agreement to sell these branches to Carolina Premier Bank was originally announced on January 30, 2012.

A copy of the news release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
