Item 2.02. Results of Operations and Financial Condition.

On June 28, 2012, Family Dollar Stores, Inc. (the "Company") issued a news release which reported earnings for the third quarter ended May 26, 2012, and other matters relating to the Company's plans, operations and financial condition. The Company also updated its earnings guidance for the fiscal year ending August 25, 2012. A copy of the news release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.



Item 7.01. Regulation FD Disclosure.

On June 28, 2012, the Company will hold a conference call to discuss its earnings for the third quarter ended May 26, 2012, and other matters relating to the Company's plans, operations and financial condition. A copy of the presentation used during the conference will be available at the time of the call in the Investor Relations area of the Company's website at www.familydollar.com.
