Item 1.01. Entry into a Material Definitive Agreement.
On June 14, 2012, Urban Outfitters, Inc. (the "Company") executed an amendment
to its line of credit facility (the "Line") with Wells Fargo Bank, National
Association. As part of the amendment, the Company used the accordion feature of
the Line to increase the total available credit under the revolving credit
facility to $175.0 million. The amendment also revises certain financial
covenants and joins certain subsidiaries of the Company as additional
guarantors. The Line has a term of three years from April 25, 2011.
