Item 8.01. Other Events.

In connection with Consolidated Communications Holdings, Inc.'s (the "Company") pending merger with SureWest Communications ("SureWest"), on June 7, 2012, the California Public Utilities Commission (the "CPUC") approved the transfer of control of SureWest to the Company, as recommended to the CPUC by the Company and SureWest. This approval satisfies a condition to the completion of the merger.
