Item 8.01. Other Events.

On June 5, 2012, Neuralstem, Inc. ("Company") announced that the Emory University Institutional Review Board ("IRB") approved the amendment to the ongoing Phase I trial evaluating the Company's spinal cord stem cells in the treatment of amyotrophic lateral sclerosis (ALS or Lou Gehrig's disease). The amended protocol was approved earlier this year by the United States Food and Drug Administration subject to IRB approval. A copy of the press release is attached to this report as Exhibit 99.01.
