On May 30, 2012, the Compensation Committee of the Board of Directors of Enphase
Energy, Inc. (the "Company"), awarded a discretionary cash bonus payable to a
"named executive officer" (as defined in Item 402(a)(3) of Regulation S-K
promulgated by the Securities and Exchange Commission) of the Company for
performance related to the fiscal year 2011, in the amount set forth in the
table below.
