Item 8.01 Other Events

On May 31, 2012, Univest Corporation of Pennsylvania (the "Corporation") and its insurance subsidiary, Univest Insurance, Inc., issued a press release announcing the acquisition of the Javers Group, a full-service employee benefits agency that specializes in comprehensive human resource management, payroll and administrative services to businesses with 50 to 1,000 employees.

Approximately $3.2 million was paid at closing with the remaining purchase price to be paid in annual installments over the three year period ended June 30, 2015 based on the achievement of certain levels of pre-tax income. The total purchase price will not exceed $5.0 million. A copy of this press release is attached to this Current Report on Form 8-K as Exhibit 99.1.
