Submission of Matters to a Vote of Security Holders, Financ
On May 24, 2012, the registrant held its 2012 Annual Meeting of Shareholders. The following matters were submitted to a vote of the shareholders of record as of March 16, 2012 through the solicitation of proxies:
1. To elect eight directors to serve for one year and until their successors have been duly elected and qualified;
2. To amend the Amended and Restated Charter of Mid-America Apartment Communities, Inc. to increase the number of authorized shares of common stock to 100,000,000;
3. To provide an advisory (non-binding) vote on executive compensation;
4. To ratify the selection of Ernst & Young LLP as its independent registered public accounting firm for 2012.
All eight nominees were elected to serve for one year and until their successors have been duly elected and qualified. The results of the election were as follows:
