On May 22, 2012, Compuware Corporation ("Compuware") issued a press release announcing financial results for its fourth quarter and fiscal year ended March 31, 2012 and certain other information. A copy of the press release is furnished with this Report as Exhibit 99.1.

Item 8.01. Other Events.

In May 2012, the Board of Directors authorized a Rule 10b5-1 repurchase program to be implemented during the first quarter of fiscal 2013 which will allow us to repurchase shares pursuant to a predetermined formula without regard to the quarterly black-out periods. This plan will utilize funds under the current discretionary authorization and will expire in November 2012.
